Ambient Executive Adopts 10b5-1 Plan
February 12, 2010 - Ambient Corporation announced today that Ramdas Rao, Ambient’s Chief Technology Officer, has adopted a prearranged trading plan in accordance with guidelines specified by Rule 10b5-1 under the Securities and Exchange Act of 1934, and the Company's policies related to sales by insiders.
Rule 10b5-1 permits officers and directors of public companies to adopt predetermined plans for selling or buying specified amounts of stock. The plans may be entered into only when the director or officer is not in possession of material, nonpublic information and may be used to gradually diversify investment portfolios over a period of time.
Under this 10b5-1 plan which is in effect through April 15, 2010, Mr. Rao plans to sell 400,000 shares, which is less than 5% of his personal holdings of Ambient common stock, including his vested stock options as of today’s date.
Mr. Rao stated, "What we have accomplished since acquiring this stock position in 2002, has been quite substantial. As a principal officer, I believe Ambient is well positioned to capture the opportunities of today while we continue to develop next generation products and incorporate additional applications into our [marketing leading] smart grid platform. My decision to diversify a portion of my holdings is based on my advisors recommending adopting the 10b5-1 plan as a prudent way to create variance in my family's investments."
